Terms of Use

Version 2026-07-01 · Governs your use of the BedFlows platform

These Terms of Use ("Terms") are a binding agreement between you and Bedflows, Inc ("BedFlows," "we," "us," or "our") governing access to and use of the BedFlows web application, APIs, and related services (collectively, the "Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

Draft notice: This document is provided for operational use and should be reviewed by qualified legal counsel before production deployment with real patient data.

1. Eligibility and authorized use

The Service is intended for authorized representatives of participating organizations — including Assisted Living Waiver (ALW) residential care facilities, skilled nursing facilities (SNFs), care coordination agencies, and BedFlows administrators. You represent that you are at least 18 years old, have authority to bind your organization (where applicable), and will use the Service only for lawful bed-availability coordination within the California ALW program context.

Access is invite-only. You may not share credentials, circumvent access controls, scrape or bulk-export data without authorization, or use the Service for any purpose unrelated to ALW placement coordination.

2. Accounts and security

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us promptly at hello@bedflows.com if you suspect unauthorized access. We may suspend or terminate accounts that violate these Terms or pose a security risk.

3. Protected health information

The Service may store limited protected health information ("PHI"), including patient names in the SNF discharge pipeline. Facilities and SNFs must accept the HIPAA Business Associate Agreement before accessing PHI features. You agree to:

  • Use PHI only as permitted by applicable law and your organization's policies
  • Not enter PHI beyond what the Service is designed to collect
  • Ensure your team members are trained on HIPAA and organizational privacy requirements
  • Report suspected breaches to BedFlows and your organization's privacy officer promptly

4. Your content and data

You retain ownership of data you submit (bed availability, pipeline entries, facility profiles, notes). You grant BedFlows a limited license to host, process, display, and transmit that data solely to operate and improve the Service, enforce access controls, and comply with law. You represent that you have all rights necessary to submit such data and that it does not violate third-party rights or applicable law.

5. Service description and disclaimers

BedFlows is a coordination tool. It does not provide medical advice, clinical decision support, or emergency services. Bed availability listings are self-reported by facilities and may change without notice. Coordinators and SNFs are responsible for verifying information directly with facilities before making placement decisions. The Service is not a referral system, guarantee of placement, or contract between parties.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, BEDFLOWS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

6. Subscriptions and fees

Certain features may require a paid subscription. Fees, billing cycles, and trial terms are presented at checkout or in your organization's agreement with BedFlows. Unless otherwise stated, subscriptions renew automatically until cancelled. You are responsible for applicable taxes.

7. Acceptable use

You agree not to:

  • Reverse engineer, probe, or attack the Service or its infrastructure
  • Upload malware, spam, or unlawful content
  • Misrepresent your identity, facility status, or bed availability
  • Access data outside your authorized role or organization scope
  • Use automated means to access the Service except as we expressly permit

8. Intellectual property

BedFlows owns the Service, including software, branding, documentation, and aggregated/de-identified analytics derived from use of the Service. These Terms do not grant you any rights to our trademarks or proprietary technology except the limited right to use the Service as described herein.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BEDFLOWS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) AMOUNTS YOU PAID BEDFLOWS IN THE TWELVE MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted by law.

10. Indemnification

You will defend, indemnify, and hold harmless BedFlows from claims, damages, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your data, your violation of these Terms, or your violation of applicable law — including HIPAA obligations attributable to your organization.

11. Termination

You may stop using the Service at any time. We may suspend or terminate access for violation of these Terms, non-payment, security concerns, or upon reasonable notice. Sections that by their nature should survive termination (including disclaimers, limitation of liability, indemnification, and governing law) will survive.

12. Changes

We may update these Terms from time to time. Material changes will be posted on this page with an updated version date. Continued use after changes become effective constitutes acceptance. For material changes affecting PHI handling, we will provide additional notice where required by law or contract.

13. Governing law and disputes

These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules. Disputes will be resolved in the state or federal courts located in California, and you consent to their jurisdiction.
